Stock Exchange Law

The Swiss Stock Exchange (SIX Swiss Exchange), which has in the past few years sustained its good reputation alongside the major Stock Exchanges in and outside of Europe through its outstanding services and skilful joint-ventures, is an important part of the Swiss financial centre. Further reasons for this success are the introduction of the Stock Exchange Law and its ordinances and regulations, the periodical SIX Swiss Exchange messages, which aim at clarifying this set of rules, as well as the separation of the SIX Swiss Exchange into different segments. All this has contributed to the fact that in the past few years capital markets transactions in Switzerland have multiplied and increased in size.

Peter R. Altenburger and Massimo Calderan are admitted at the SIX Swiss Exchange as recognised applicants ("Emittentenvertreter"). We therefore dispose of extensive know-how in the area of the Stock Exchange Law and assist our clients in all legal questions concerning the Stock Exchange.

The provision of advice to listed companies is a many-sided task. In many cases of capital market transactions, Company and Tax Law issues need to be addressed. Subsequently to the listing, it is important to offer guidance to the companies with regard to their compliance with Stock Exchange Law, e.g. the various mandatory registrations or the ad hoc publicity requirement.

We offer advice and assistance in the following areas:

  • public share- or loan emissions (e.g. IPO)
  • private placements (Privatplatzierungen)
  • preparation of listing prospectus
  • registrations and publications
  • public take-over offers
